SMTA National Board and Local Officers
Standards of Business Conduct


The SMTA (the Association) is a non-profit organization that states in its by-laws in Article IX COMPENSATION,

"All Directors and Officers shall serve without compensation."

This policy interprets the intent of the by-law to be that Association directors or officers should not profit monetarily from their service as directors or officers.

It is also interpreted that SMTA chapter officers should not profit from their position as a result of activities presented by their chapter.
In addition, it is the intent of this policy to prohibit Association directors or officers from receiving monetary compensation for technical presentations given at seminars and technical conferences sponsored by the SMTA.

It is not the intent of this policy to prohibit officers of SMTA chapters from receiving compensation regularly paid to a speaker at a national SMTA technical conference.

Therefore the following policy is established:

National Directors or Officers
1. Compensation: An Association director or officer cannot receive any financial compensation, over and above reasonable and approved expenses (travel and per diem) from the Association, or its related trade show organization, for professional services and/or materials (such as printed or magnetically recorded material).
2. Conflict of Interest: An Association director or officer shall not vote on an issue where the Board of Directors decides there is a conflict of interest.

Chapter Officers
1. Compensation: An officer of an SMTA chapter cannot receive any financial compensation over and above reasonable and approved expenses (travel and per diem) from an SMTA chapter for professional services and/or materials (such as printed or magnetically recorded material).
2. Conflict of Interest: A chapter officer shall not vote on an issue where the chapter officers voting as a whole decides there is a conflict of interest.
